近期，永利欢乐娱人城(中国)股份有限公司（“本公司”或“阳光融汇资本”）发现有公开文章对本公司进行不实描述，声称阳光融汇资本为“解植春控股的中国富强金融（HK 0290）的股东riverhead capital公司在国内的子公司”。该等不实描述对本公司声誉造成了严重不良影响；为维护公司声誉，本公司现郑重声明：

Recently, Riverhead Capital Investment Management Co., Ltd.(永利欢乐娱人城(中国)股份有限公司) (“we”, “our Company” or “RHC”) has become aware of certain public articles containing inaccurate descriptions of our Company, falsely alleging that RHC is “a domestic subsidiary of riverhead capital company, a shareholder of China Fortune Financial Group Limited (HK 0290) controlled by Jie Zhichun(解植春)”. Such false descriptions have severely damaged our Company's reputation. To safeguard our reputation, we hereby solemnly declare:

一、阳光融汇资本（英文名称为：Riverhead Capital Investment Management Co., Ltd.）成立于2015年1月，为原中国保监会（现国家金融监督管理总局）批准的首批由保险资金参与设立的市场化保险私募基金管理人，目前主要在中国大陆开展经营。

RHC, established in January 2015, is one of the first market-oriented insurance private equity fund managers, established with the participation of insurance funds and approved by China Insurance Regulatory Commission (now known as National Financial Regulatory Administration). RHC primarily operates in mainland China.

二、本公司、本公司管理的基金及本公司之子公司与解植春、解植锟及中植集团不存在任何关系、无任何交易往来。

RHC, its managed funds, and its subsidiaries have no relationship whatsoever with Jie Zhichun(解植春), Jie Zhikun(解植锟), or Zhongzhi Enterprise Group(中植集团), and have no transactions or dealings with them.

三、本公司与公开文章所称的“解植春控股的中国富强金融（HK 0290）的股东riverhead capital公司”及其子公司均并非同一家公司，本公司英文名称与该公开文章中所称“riverhead capital”重合纯属巧合。本公司、本公司管理的基金及本公司之子公司与该公开文章所“riverhead capital公司”不存在任何关系、无任何交易往来，对其从事的业务、股权结构、经营情况等任何信息亦不知情。

RHC is not the same entity as “riverhead capital company” mentioned in the public articles, claimed to be a shareholder of China Fortune Financial Group Limited (HK 0290) controlled by Jie Zhichun(解植春), or its subsidiaries. The similarity between our Company's English name and “riverhead capital” mentioned in the public articles is purely coincidental. RHC, its managed funds, and its subsidiaries have no relationship whatsoever with “riverhead capital company” mentioned in the public articles, and have no transactions or dealings with it. Our Company has no knowledge of any information regarding business activities, equity structure, or operation of “riverhead capital company”.

四、对本公司进行任何不实描述或虚假陈述影响本公司声誉的，本公司保留依法追究该等实体或个人的法律责任的权利。

RHC reserves the right to pursue legal action against any entity or individual responsible for making false descriptions or statements that affect the RHC’s reputation.

五、对于冒充或借用本公司或本公司工作人员名义开展业务活动的，敬请广大投资者提高警惕和识别能力，可及时与本公司联系核实，切实维护好自身权益。
